HARRISON PUBLISHING HOUSE, INC. LIMITED USE PRICE REVISION SERVICE LICENSE AGREEMENT

This document states the terms and conditions upon which Harrison Publishing House, Inc. ("HPH") offers to license the Price Revision Service and its associated data. For the purposes of this Agreement, Price Revision Service shall mean any and all Updates and any and all associated material and data provided to you during the term of this agreement. Carefully read all of the terms and conditions of this Agreement prior to signing the Agreement. By signing this Agreement and/or using the Price Revision Service, you acknowledge that you have read and understood the Agreement and are bound by its terms and conditions. You further agree that this Agreement is the complete agreement between HPH and yourself. If you do not agree to the terms of this Agreement, do not execute this Agreement and promptly return any previously supplied Price Revision Service materials to HPH at the address below. HPH is a corporation with its principal office at P.O. Box 320, 995 Industrial Park Road, Littleton, NH 03561-0320, USA.

The Price Revision Service and its associated materials as supplied by HPH is licensed, not sold, to you for use only under the terms of this License and HPH reserves all rights not expressly granted to you.

1. License: This License entitles you to the Price Revision Service and associated data and information for a single computer. This License is valid for as long as your subscription to the Price Revision Service is current.

2. Consideration: You agree to pay HPH, in consideration of the License granted herein, annual fees at HPH's then current rates, provided only that HPH has given you thirty (30) days notice of any increase in such fees. If you request any additional information or services including, but not limited to, past updates, new initial loads, updates in different formats, pricing information, you agree to HPH terms, conditions, and fees which will be made available to you upon demand at the time of your request.

3. Restrictions: You may not loan, rent, lease, or distribute the Price Revision Service Updates and/or Documentation. You may not assign or transfer this License, the Price Revision Service, any copies of the Updates, and/or the Documentation. Any attempt to sublicense, assign, or transfer any of your rights, duties, or obligations under this Agreement is void. You may not reverse engineer, decompile, or disassemble the Updates, and you may not modify, translate, or create derivative works from the Price Revision Service Updates and/or Documentation. You agree to protect the Price Revision Service Updates and Documentation from unauthorized publication, use, reproduction, and/or distribution.

4. Copyright: The Price Revision Service Updates, its associated data, and accompanying written materials are copyrighted. Unauthorized copying is expressly forbidden. HPH retains all rights, title interest, and ownership of, in, and to the Price Revision Service Updates, copies of the Updates, and the Documentation. HPH reserves the right to modify and/or enhance the Price Revision Service Updates or Documentation without obligation to notify you of such changes or to furnish them to you.

5. Termination: This License is effective for one year from the date of purchase and is automatically renewed thereafter with your continuation of the Price Revision Service. Except as otherwise provided herein, this License shall terminate automatically upon the earlier of (a) Your breach of your obligations under this License, (b) HPH's written termination of this License, or (c) Your cancellation of the Price Revision Service which can occur at any time at your request, or by your non-payment of the service subscription billing.

6. Limited Warranty: HPH will use its best efforts to assure the accuracy of the information contained in the Updates, however HPH makes no expressed or implied warranty of any kind. HPH does NOT warrant that the contents of the Price Revision Service Updates and its associated data and/or information will meet your requirements or operate free from error. HPH DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY HPH, ITS DEALERS, DISTRIBUTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, OR ASSOCIATES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.

7. Limited Liability: The liability of HPH for any claims arising out of the License based upon the Updates or its associated data and/or information, regardless of the form of action, shall not exceed one (1) year's license fee for the Price Revision Service. HPH SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, PROFITS, OR THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE THE PRICE REVISION SERVICE EVEN IF HPH OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF SUCH DAMAGES. HPH SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY THE DELAY IN DELIVERING OR FURNISHING ANY PRODUCT OR INFORMATION PURSUANT TO THIS LICENSE AGREEMENT.

8. Disclaimer: HPH does NOT warrant the complete accuracy of the associated data contained in the Price Revision Service, supplied in the price and product Updates or supplied in the associated information and Documentation and shall not be responsible for data entry or computation errors or any similar errors in compiling the price and product data and/or information.

9. General: (a) Under this License Agreement HPH is furnishing price and product information only for reference purposes; there is no effort by HPH toward fixing or negotiating prices; there is no understanding that the price and product information supplied will be maintained by anyone. (b) This License shall be governed and interpreted in accordance with the laws of the state of New Hampshire. This License shall be construed in such fashion as to make each provision enforceable to the maximum extent possible under law. (c) This License represents the entire Agreement between the parties with respect to the subject matter hereof, and supersedes all prior Agreements or understandings (oral or written). Failure or delay in enforcing any right or provision of this Agreement shall not be deemed as a waiver of such provisions or right in respect to any subsequent breach or a continuance of any existing breach. If any provision of this License shall be held by a court of jurisdiction to be rendered void or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this License will remain in force and effect. (d) In the event HPH institutes an action to enforce its rights under this Agreement, you hereby agree to submit to the jurisdiction of New Hampshire courts. (e) In the event that it becomes necessary for HPH, at its discretion, to employ an attorney to enforce the terms and conditions of this Agreement and/or to collect monies owed HPH, you agree to pay said attorney's fees and related costs incurred by HPH.

10. Agreement of Terms: You, as a duly authorized agent, agree to and will comply with all of the terms and conditions of this Agreement as detailed above.
